Transocean Ltd. Closes Private Placement of U.S. $410 Million of Secured Notes

ZUG, SWITZERLAND - May 5, 2017 - Transocean Ltd. (NYSE: RIG) announced today that Transocean Conqueror Limited, one of its indirect subsidiaries (the "Issuer"), closed a private offering of U.S. $410 million in senior secured notes with an annual rate of 5.52% and maturing in 2022 (the "Notes").

The Notes, guaranteed by the indirect subsidiary that owns the Deepwater Conqueror, are secured by a lien on the Deepwater Conqueror and certain other assets related to the rig. Neither Transocean Ltd. nor Transocean Inc. guaranteed the obligations of the Issuer under the Notes.

The net proceeds of approximately $403 million from the Notes will be used primarily for the purpose of partially financing the construction of the Deepwater Conqueror.

The Notes have not been and will not be registered under the U.S. Securities Act of 1933, as amended (the "Securities Act"), or any state securities laws and may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws. The Notes offered may not be publicly offered, sold or advertised, directly or indirectly, in Switzerland.
